مسئولیت مدنی شرکت مادرتخصصی نسبت به شرکت های تابعه در فقه و حقوق ایران

    چکیده
       مسئولیت مدنی شرکت مادر تخصصی در قبال شرکت تابعه از مسائل مهم و پیچیده حقوق شرکت‌هاست؛ زیرا از یک سو اصل استقلال شخصیت حقوقی شرکت‌ها اقتضا دارد که هر شرکت در برابر تعهدات و زیان‌های ناشی از فعالیت خود به طور مستقل مسئول باشد، و از سوی دیگر، واقعیت اقتصادی گروه شرکت‌ها نشان می‌دهد که شرکت مادر ممکن است با اعمال کنترل، سلطه مدیریتی و هدایت راهبردی، در تصمیمات شرکت تابعه نقش مؤثر داشته باشد. این پژوهش با هدف بررسی مبانی، شرایط، موانع و آثار مسئولیت مدنی شرکت مادر تخصصی انجام شده و در پی پاسخ به این پرسش است که در چه شرایطی می‌توان خسارات وارد بر شرکت تابعه یا اشخاص مرتبط با آن را به شرکت مادر منتسب کرد. یافته‌های پژوهش نشان می‌دهد که صرف مالکیت سهام، وابستگی مالی یا وجود رابطه گروهی میان شرکت‌ها برای تحقق مسئولیت کافی نیست، بلکه باید کنترل مؤثر، فعل زیان‌بار یا تقصیر مدیریتی و رابطه سببیت میان رفتار شرکت مادر و ضرر وارده احراز شود. از منظر فقهی، قواعدی مانند اتلاف، تسبیب، غرور و لاضرر می‌توانند مبنای انتساب مسئولیت به شرکت مادر قرار گیرند و از منظر حقوقی نیز قواعد عمومی مسئولیت مدنی، منع سوءاستفاده از حق و نظریه خرق حجاب شخصیت حقوقی ظرفیت لازم را برای پذیرش این مسئولیت فراهم می‌کنند. با این حال، اصل استقلال شخصیت حقوقی شرکت تابعه و دشواری اثبات مداخله مستقیم و مؤثر شرکت مادر از مهم‌ترین موانع تحقق مسئولیت است. نتیجه پژوهش آن است که مسئولیت مدنی شرکت مادر تخصصی باید به صورت استثنایی و مشروط پذیرفته شود؛ به گونه‌ای که هم از سوءاستفاده از ساختارهای شرکتی و تضییع حقوق زیان‌دیدگان جلوگیری شود و هم امنیت حقوقی، اصل مسئولیت محدود و استقلال شرکت‌ها مخدوش نگردد.
    Abstract
       Abstract The civil liability of a specialized parent company toward its subsidiary is one of the significant and complex issues in corporate law. On the one hand, the principle of separate legal personality requires each company to be independently liable for the obligations and damages arising from its own activities. On the other hand, the economic reality of corporate groups shows that a parent company may play an effective role in the decisions of its subsidiary through control, managerial dominance, and strategic direction. This study aims to examine the foundations, conditions, obstacles, and consequences of the civil liability of a specialized parent company and seeks to answer the question of under what circumstances damages incurred by the subsidiary or related third parties may be attributed to the parent company. The findings indicate that mere share ownership, financial dependence, or the existence of a group relationship between companies is not sufficient to establish liability; rather, effective control, a harmful act or managerial fault, and a causal link between the parent company’s conduct and the damage must be proven. From the perspective of Islamic jurisprudence, principles such as destruction of property, causation, deception, and no-harm may provide a basis for attributing liability to the parent company. From a legal perspective, the general rules of civil liability, the prohibition of abuse of rights, and the doctrine of piercing the corporate veil provide the necessary capacity for recognizing such liability. Nevertheless, the principle of the subsidiary’s separate legal personality and the difficulty of proving the parent company’s direct and effective intervention are among the most important obstacles to establishing liability. The study concludes that the civil liability of a specialized parent company should be recognized exceptionally and conditionally, in a manner that prevents the misuse of corporate structures and protects injured parties, while preserving legal certainty, limited liability, and corporate independence.
