    چکیده

      From the beginning of the emergence of the legal

    personality of the company, the direction and governance of multiple interests of the Beneficiaries is one of the main issues facing the directors. In general, this part of law is made up of legal rules about management, governance and regulation of rights and duties related to the conflicting interests of the company's Beneficiaries. Establishing the Benefit and management of these conflicts first requires identifying the nature and types of conflict of interest and recognizing it from similar institutions and legal situatio   this will lead to the formulation of useful laws and policies. In spite of the lack of explicit policies regarding the identification of conflicts of interest and the existence of scattered In Iranian law, there are provisions such as: "Corporate Governance direction" approved on ۱۱/۲۷/۲۰۱۸ and Articles ۱۲۹-۱۳۱, ۱۳۴, ۱۷۲, and ۱۸۹ of the Law Amending Part of the Commercial Code approved in ۱۹۶۸. Also, examples and solutions to deal with this situation have been developed in scientific works and the common law legal system. The present research, for the first time, aims to facilitate the identification of its nature and examples from other similar institutions by means of an analytical-comparative study of the basics of conflict of interest, its types and conditions.

    از آغاز پیدایش شخصیت حقوقی شرکت، اداره و راهبری منافع متعدد ذینفعان از اصلی­ترین موضوعات پیش روی مدیران است. ایجاد بهره­مندی و مدیریت این تعارضات در بدو امر مستلزم شناسایی وضعیت و اقسام تعارض منافع و بازشناسی آن از نهادها و وضعیت­های حقوقی مشابه است؛ امری که به سیاست­گذاری و تدوین قوانین و مقررات کارآمد منتج خواهد شد. علی­رغم فقدان سیاستگداری صریح در خصوص تعارض منافع و وجود قواعد پراکنده در حقوق ایران همچون: «دستور­العمل حاکمیت شرکتی» مصوب ۲۷/۴/۱۳۹۷ و مواد ۱۲۹-۱۳۱، ۱۳۴، ۱۷۲ و ۱۸۹ قانون اصلاح قسمتی از قانون تجارت مصوب ۱۳۴۷، در آثار علمی و نظام حقوقی کامن­لا مصادیق و راهکارهای مقابله با این وضعیت تدوین شده است. تحقیق حاضر برای اولین بار در صدد برآمده است با مطالعه تحلیلی- تطبیقی مبانی تعارض منافع، اقسام و شرایط تحقق آن شناسایی ماهیت و مصادیق آن از سایر نهادهای مشابه را تسهیل کند.
